DISCO is Hiring a General Counsel/Chief Compliance Officer Near Austin, TX

Your Impact
The General Counsel / Chief Ethics and Compliance Officer is the senior-most legal executive in the organization, responsible for providing strategic legal guidance on a global scale to the executive team and Board of Directors on a host of corporate and commercial matters. As a member of the senior leadership team and reporting to the president of the company the GC/CECO will also work closely with Human Resources and the Board of Directors to assess and manage legal risks, ensure compliance, and safeguard the company's interests while promoting ethical practices and upholding legal standards.
What You'll Do
  • Legal Counsel and Strategy : Provides expert legal advice and guidance to senior management and other departments on a wide range of legal issues, including regulatory filings, contracts, employment law, intellectual property, corporate governance, and litigation management. Develops and implements the organization's legal strategy, aligning it with business objectives and risk tolerance.
  • Board Reporting: Prepares and presents regular reports to the Board of Directors on legal and compliance matters, including updates on regulatory developments, compliance initiatives, litigation matters, and risk assessments. Provides clear and concise explanations of complex legal and compliance issues, ensuring that the Board is fully informed and equipped to make informed decisions.
  • Compliance Oversight: Develops, implements, and manages a comprehensive compliance program to ensure adherence to relevant laws, regulations, and industry standards. This includes the development of DISCO's compliance protocols, monitoring changes in regulations, conducting risk assessments, training and educating, reporting, issue resolution, and partnering with auditors to mitigate compliance risks.
  • Regulatory Affairs: Serves as the primary point of contact for regulatory agencies and external legal counsel. Stays abreast of regulatory developments and ensures that the company remains compliant with all applicable laws and regulations.
  • Corporate Governance: Oversee corporate governance matters, including board meetings, corporate filings, employment law, and compliance with corporate governance best practices.
  • Risk Management: Identifies legal and compliance risks facing the company and develops strategies to mitigate these risks. This may involve conducting internal investigations, implementing controls, and providing training to employees.
  • Contract Management: Reviews, negotiates, and drafts contracts and other legal documents to protect the interests of the company and ensure compliance with legal requirements.
  • Ethics and Integrity: Promotes a culture of ethics and integrity throughout the organization by providing training, guidance, and support to employees at all levels.
  • Litigation Management: Manages any legal disputes or litigation matters involving the company, including selecting and working with external counsel and representing the company's interests in court proceedings.
Who You Are
  • 20 years of experience in legal practice, with a substantial portion of experience at a senior management and board level.
  • Experience in managing complex legal matters and providing strategic legal advice to executive leadership.
  • Experience with dispute resolution and litigation for an understanding of DISCO's core business.
  • Previous experience in leading legal teams and overseeing multiple legal functions.
  • Previous experience at Amlaw 100 Firm

  • Solid understanding of the company's industry and regulatory environment, allowing for informed decision-making and risk assessment.
  • Strong sense of discretion and the ability to handle sensitive information with the utmost confidentiality, particularly when interacting with the board of directors and other executives on legal and compliance matters.
  • Effective communication and stakeholder management skills.
  • Demonstrated ability to make sound legal judgments and decisions.
