Position Summary:

The Associate General Counsel is responsible for providing counseling and support on compliance, litigation and employment related matters in all facets of the organization. Reporting to the General Counsel, this role oversees Company compliance with laws and regulations applicable to the HR outsourcing services that it provides, including educating and advising the Company’s human resources account managers. This role also serves as the initial point of contact for client and vendor contracts, oversees the Company’s corporate licensing, and supports the Company’s corporate governance activities. This role requires elevated levels of confidentiality and discretion.

Essential Duties And Responsibilities Include The Following:

• Support AlphaStaff’s management, sales, and operational teams in providing advice for any legal issues arising within the organization and with respect to client service activities, with particular emphasis on labor and employment, payroll, payroll tax and ERISA compliance.
• Develop, implement and monitor regulatory compliance programs relating to labor and employment laws, payroll, payroll tax and ERISA.
• Engage and manage outside counsel where specialized knowledge is required.
• Support and direct compliance with applicable licensing, registrations, certifications, bonds, controlling persons, amongst others.
• Oversee management of the Company’s EPLI program, including case management.
• Oversee legal operations specialists who manage third-party subpoenas, garnishments and litigation holds, providing guidance and addressing escalated issues as necessary.
• Review, edit and draft contracts, including, but not limited to, client service agreements (amendments and addendums), vendor contracts, broker contracts, NDA’s and independent contractor agreements.
• Manage client terminations, ensuring that termination provisions are complied with and submitting all documentation in accordance with state statutory requirements.
• Provide support to account managers on employee relations guidance for escalated/complex client issues.
• Counsel business partners on other legal issues that may arise.
• Manage administrative duties as required in reference to Legal Department management.
• Other duties as assigned.

Qualifications:

• Juris Doctorate from an accredited U.S. Law School required.
• A law degree from an ABA accredited law school, and a member in good standing of the Florida Bar.
• 5 to 10 years’ relevant legal experience with a law firm and/or in-house.
• ERISA experience preferred.
• Contract review and management preferred.
• Superb analytical skills.
• Excellent oral and written communication skills.
• Must be exceptionally organized, detail-oriented, and efficient.
• Must be able to strike sensible and practical balance between legal risks and business needs.
• Must be a team player and work well with all functions and at all levels.
• Must be able to work in a fast-paced environment with demonstrated ability to prioritize and execute multiple tasks and projects with little supervision.
• Proficient in the use of Microsoft products including, but not limited to, Word, Excel, Outlook, and PowerPoint.
• Labor and employment law experience is required.
