If you answered yes to these questions, you could be the ideal candidate for the role of Real Estate Transactional Contract Attorney that we are currently seeking.

We are looking to hire an in-house attorney to work closely with our Sales and Entitlements team to facilitate multiple concurrent closings for acquisitions, dispositions, and entitlement needs. As our Real Estate Transactional Contract Attorney at Allied Development, you will be responsible for the following.

Job Description:

  • Land Acquisition - Review & edit Land Purchase Agreements.
  • Negotiate Land Purchase Agreements with Seller counsel.
  • Communicate effectively via email, phone, video calls.
  • Prepare/Review subsequent amendments.
  • Confirm vesting interests.
  • Entitlements - Title matters , reviews, notice and replies.
  • Work with buyers, sellers, escrow officers, surveyors to clear title objections.
  • Liaise with Entitlement Managers to ensure adherence to “abnormal terms” that create atypical Allied obligations.
  • Prepare supplementary docs: Easements, Quit Claims, MoU, MoA, etc.
  • Land Disposition - Review and edit Land Sale Agreements and negotiate Land Sale Agreements with publicly traded home builders.
  • Prepare critical dates docs.
  • Title Matters - Title notice, title replies, and work with buyers, sellers, escrow officers, surveyors to clear title objections.
  • Prepare/Review subsequent amendments.
  • Closing - Prepping deeds, closing docs, HUD statements and liaise with the title company to ensure a smooth closing.
  • Liaise with local specialty attorneys (Land Use attorneys, local transactional attorneys, etc.
  • Ownership of dates that include Earnest Money due dates (notice and payment), contingency dates, title notice due dates as Buyer and Seller, and closing dates.
  • All Notice requirements - extending closing, early closing, entrance to the property, etc.
  • Confirm vesting interests.

Job Requirements:

  • Preferred: Experience as a mid-level associate in a large firm now looking for an in-house position.
  • Juris Doctor (JD) from an accredited law school in the U.S.
  • Minimum of 4 years of real estate transactional experience, specifically in developable raw land.
  • Real Estate Areas of Expertise include: earnest money, escrow, multiple simultaneous closings, title review and commitments, objection letters (buyers and sellers). deeds/leases/easements, MoAs, MoUs and quiet claims.
  • Preferred - Land entitlement knowledge
  • Navigating reps and warranties
  • Seller/Buyer Breach
  • Exhibits grace under pressure and comfortable with a high volume of transactions
  • Independent, self-directed, organized, with excellent communication skills, and can anticipate problems and issues and takes action to solve them.

Job Type: Full-time

Pay: $200,000.00 - $250,000.00 per year
