Responsibilities:To provide paralegal support to the firm's corporate department.
  • Maintain corporate minute books: draft minutes and written unanimous consents; prompt attorneys of updates to annual actions; and maintain share ledgers and prepare share certificates. 
  • Coordinate and manage document imaging and corporate information database.
  • Prepare and file documents with the Secretaries of State: formation documents; amendments; UCC financing statements; document requests. 
  • Order lien searches and summarize results. 
  • Assist attorneys during merger & acquisition transactions: manage task items and due diligence lists; organize documents and prepare closing binders. 
  • Obtain information on individuals and companies via Lexis/Westlaw and general internet research.
  • Proofread documents and review documents for docketing purposes. 
  • Prepare PowerPoint presentations, organizational charts, and timelines.
  • Other tasks that may be assigned.
Requirements: 
  • High attention to detail and organization. 
  • Excellent communication and presentation skills, both orally and in writing.
  • Understand corporate law practice and Ohio Corporate Law.
  • Skill in interacting with clients, attorneys, and professionals from other businesses. 
  • Strong interpersonal skills.
  • Commitment to excellence.
  • Ability to thrive in a high-pressure, fast paced environment.
  • Ability to multitask and meet targeted deadlines.
  • Experience with technology: Microsoft Suite, Adobe, document management system experience a plus.
  • Flexible, willing to work overtime and occasional weekends.
  • Must be able to lift at least 10 lbs. and sit for extended periods of time.
  • Must be able to accurately type 60 WPM.
