How you'll make a difference?
The Director, Associate General Counsel will handle and prioritize multiple complex legal projects at the direction of the Company's Chief Legal and Administrative Officer. This position will provide legal advice and services on issues concerning the rights, obligations, and privileges of the organization while protecting the organization's rights in contract negotiations, settlements and litigation. The person will provide a full range of legal advice and services and may concern one or more areas such as commercial law, contracts law, securities regulation, litigation, employment law, corporate governance, mergers and acquisitions, and regulatory compliance.
What will be your Duties and Responsibilities?

  • Working closely with business clients, including senior executives, to influence strategy and the adoption of new ideas and/or approaches to improve business processes.
  • Providing strategic guidance to the business on marketing, sales and distribution practices. Educating and counseling business unit management on legal issues.
  • Negotiating, drafting and interpreting contracts with Orthofix's strategic business partners and with distributors of Orthofix's products. Drafting, structuring, interpreting and negotiating contracts.
  • Interpreting terms and conditions of contractual relationships and advising business on rights and obligations thereunder. Determining whether desired terms and conditions comply with applicable laws and regulations, including antitrust laws, anti-kickback laws and other fraud and abuse laws.
  • Developing and maintaining an excellent understanding of the federal and state regulatory environment in which Orthofix businesses operate, as well as the operational details of our businesses.
  • Assisting with Orthofix SEC compliance and filings.
  • Assisting on acquisitions or other strategic business partner alliances.
  • Managing complex healthcare transactional matters, regulatory matters and other legal issues.
  • Ensure corporate policies are current and develops new ones. Identify gaps in existing policies and initiate changes and revisions to policies.
  • Prepare and deliver training programs designed to enhance compliance and avoid litigation.
  • Retain and manage outside counsel providing specialized services to the company in a cost-effective manner.
  • Review and comment on marketing and advertising materials and corporate communications.
  • Study proposed and existing legislation, review business practices and policies, and advise management of potential risks.
  • Coordinate and assist in representation of the company in legal disputes and litigation.
  • Regular attendance required.
What skills you'll need?
  • The successful candidate will have a Juris Doctor degree from an accredited Law School of recognized standing, have excellent academic credentials, and have been admitted to at least one state bar jurisdiction (TX preferred, but not required).
  • 5 years legal experience required. Prior in-house experience in the Medical Devices (or Health Care) field coupled with significant law firm experience will be preferred.
  • Excellent oral and written communication skills, especially in the areas of contract drafting and explaining legal risks to business clients.
  • Excellent analytical skills.
  • Working knowledge of Health Care and Medical Device laws and regulations.
  • Ability to drive results and balance management of legal risk with meeting goals of business.
  • Products liability and business tort litigation management experience.
  • Ability to work as part of a team and also work independently to meet deadlines and targets
  • Ability to provide sound, proactive, fact-based legal advice.
  • Ability to lead and participate in cross-functional teams.
  • Ability to work in fast-paced, results-oriented work environment.
  • Strong interpersonal skills, with ability to build and maintain rapport with business clients and with legal department management, peers and subordinates.
  • Ability to independently explore and recommend viable alternatives to overcome legal hurdles whenever possible while appropriately managing risk and compliance for the company.
