Description

The Vice President, Legal is the senior attorney, compliance officer, and corporate secretary for the ADA Forsyth Institute (“AFI”), providing advice and counsel to AFI’s executive management and Board of Directors on the risks, strategies, and legal implications of the Institute’s policies, programs, decisions and activities. This position provides a variety of legal services to AFI, including technology transfer and licensing, formation of spinouts, liquidation of technology ventures, compliance and risk management, corporate collaboration efforts, nonprofit law, agreements with international partners, corporate governance, employment law, research agreements and other complex contracts, litigation, and managing outside counsel.

Must-Have:

• Juris Doctor
• A minimum of 15 years’ legal experience in/with a corporate, government or law firm environment in a senior legal capacity, including experience in a scientific research institution
• Admission to Massachusetts Bar
• License to Practice Law in Massachusetts
• Excellent judgment and analytical skills, strong academic credentials, and effective verbal and written communication skills
• Knowledge of issues relating to various areas of the law, including contract, corporate, and intellectual property law, as well as knowledge of various grant and funding rules and regulations, particularly with the National Institutes of Health and other government agencies
• Hands on experience with intellectual property, technology transfer, and related contractual disputes
• Ability to build trust and establish effective working relationships with co-workers and board members
• Ability to motivate employees and colleagues and communicate openly and honestly with various contingents within the organization collegially
• Ability to exercise reasoned judgment in addressing significant issues and develop legal strategies and objectives
• Ability to apply strong moral and ethical principles, be responsive, transparent and approachable, and express opinions respectfully
• Proficiency in MS Office Suite, DocuSign, Acrobat, and similar cloud-based electronic signature platforms
• Availability for limited travel and ability to do some evening and weekend work

Preferred additional experience: 

• Experience with non-profit and for-profit structures
• Experience with corporate governance, corporate transactional law, intellectual property, government grants, emerging companies, venture capital and private equity
• Experience with HIPPA and data privacy
