The Opportunity
The successful candidate will advise clients across a broad spectrum of corporate transactions, with a strong emphasis on mergers and acquisitions, while also gaining exposure to high-value strategic matters across private equity, venture financings, joint ventures, capital markets, and corporate governance.
You will take a lead role in managing transactions through the full deal lifecycle — from structuring and drafting through negotiation and closing — while working directly with clients, senior attorneys, and business stakeholders.

Key Responsibilities
- Lead and support buy-side and sell-side M&A transactions
- Draft, review, and negotiate key transaction documents, including purchase agreements, merger agreements, operating agreements, and disclosure schedules
- Manage transaction processes from initial term sheets through closing
- Advise on private equity investments, venture debt and equity financings, and strategic joint ventures
- Support broader corporate governance and general corporate matters
- Coordinate diligence processes and oversee transaction timelines
- Collaborate across practice groups on complex, cross-disciplinary matters
- JD required from an accredited law school
- 5–7 years of corporate transactional experience in a law firm environment
- Strong background in mergers & acquisitions, including both buy-side and sell-side transactions
- Excellent drafting, negotiation, and transactional management skills
- Strong analytical, writing, and communication abilities
- Proven ability to handle complex matters with precision and commercial awareness
- Licensed and in good standing in the jurisdiction where you intend to practice
