Job Summary
We are seeking an experienced Business Legal Assistant to support a busy Corporate and Business Law practice. The ideal candidate will assist attorneys handling transactional matters including mergers & acquisitions, business formations, corporate governance, entity management, and related corporate transactions.
This role requires strong organizational abilities, attention to detail, and the capability to manage multiple priorities in a fast-paced legal environment.
Key Responsibilities
<>Transactional Legal Support- Draft, revise, and proofread contracts, corporate documents, and legal correspondence
- Assist attorneys with transactional matters and corporate projects
- Prepare closing documents and transaction-related materials
- Coordinate execution of legal documents
- Organize and manage transaction closings
- Track signatures, deadlines, and deliverables
- Coordinate with attorneys, clients, lenders, and third parties
- Prepare and maintain closing checklists
- Assemble and distribute closing binders
- Maintain corporate records and entity documentation
- Prepare and file organizational documents
- Support business formation activities
- Manage corporate governance records and related filings
Required Qualifications
- Prior experience as a Legal Assistant or Legal Secretary
- Experience supporting business, corporate, or transactional attorneys
- Exposure to mergers & acquisitions, business formations, or corporate filings
- Strong proficiency with Microsoft Office Suite
- Experience using DocuSign and electronic document management systems
- Excellent organizational, multitasking, and communication skills
