About the Role
An internationally connected law practice is seeking a mid-level corporate associate with 3 years of experience working on complex corporate and financial transactions. The role involves advising publicly listed companies and financial institutions on regulatory matters, governance, and capital-raising activities.
You will participate in a wide range of equity and debt offerings, including initial public offerings, special-purpose acquisition vehicles, direct market listings, and follow-on financing. This role offers significant hands-on responsibility, including drafting documents, coordinating with stakeholders, and managing portions of the transaction lifecycle.
Key Responsibilities
- Provide guidance to public companies on corporate governance, regulatory reporting, and disclosure obligations.
- Work with issuers and financial intermediaries on market offerings and capital-raising transactions.
- Draft, review, and negotiate transaction documents while coordinating with internal teams and external advisors.
- Support transactions across multiple industries, with a focus on technology and life sciences clients.
- Contribute to team knowledge-sharing and process improvements.
Qualifications
- 3 years of relevant experience advising public companies or financial institutions in corporate or capital-raising matters.
- Strong understanding of governance, reporting, and disclosure requirements.
- Experience with IPO-type transactions, SPACs, direct listings, or follow-on offerings preferred.
- Interest in technology or life sciences sectors is a plus.
- Excellent written, oral, and interpersonal communication skills.
- Must be licensed to practice in New York or eligible for bar admission.
