Job Overview – M&A Tax Manager
We’re seeking an experienced M&A Tax Manager with deep U.S. federal tax expertise to support transaction planning, due diligence, and complex restructuring initiatives.
Key Responsibilities:
- Lead M&A tax due diligence and review target financial/tax data
- Model acquisition structures and internal restructuring scenarios
- Perform IRC
- 382 analyses and asset vs. stock acquisition comparisons
- Calculate inside/outside basis for subsidiaries and partnerships
- Support
- 332 liquidations,
- 351 contributions, and related computations
- Prepare tax disclosures for completed transactions
- Assist with federal return review and special projects
- Conduct tax research and prepare technical memos
- 8 years of U.S. M&A and federal tax experience (public accounting)
- Strong Subchapter C knowledge; consolidated return experience a plus
- Bachelor’s in Accounting required; MST, CPA, or JD is a plus
- Advanced Excel skills
- Ability to manage multiple projects, work cross-functionally, and dive deep into details while keeping a strategic view
- Senior level
