We are seeking a dynamic and detail-oriented Associate Corporate Attorney with experience in private equity transactions, mergers and acquisitions (M& A) for small and midsize businesses, debt and equity financings including mezzanine transactions, and other corporate matters. This role will involve supporting clients across a range of industries, helping them navigate complex transactions and develop strategic solutions. The ideal candidate will have a strong foundation in corporate law, excellent negotiation skills, and a passion for delivering value-driven counsel to clients.Key ResponsibilitiesTransactional Work: Assist clients with structuring, negotiating, and closing private equity transactions, M& A deals, debt financings, equity financings, and mezzanine transactions.Due Diligence: Conduct and manage thorough legal due diligence processes for acquisitions, financings, and other corporate transactions.Drafting and Reviewing: Draft, review, and revise legal agreements, including stock purchase agreements, asset purchase agreements, shareholder agreements, operating agreements, financing contracts, and other transactional documents.Client Advisory: Provide practical legal advice on corporate governance, compliance, and regulatory issues related to deal structures and corporate transactions.Stakeholder Collaboration: Work closely with internal and external stakeholders, including clients, financial advisors, and opposing counsel, to develop solutions and navigate deal challenges.Legal Research: Perform research on applicable laws, trends, and emerging regulatory developments impacting clients and transactions.Risk Analysis: Identify and mitigate risks tied to corporate transactions, including reviewing title documents, intellectual property concerns, tax implications, and compliance matters.Portfolio and Post-Transaction Support: Assist clients with post-closing matters such as integration, restructuring, or governance adjustments.
