A leading AmLaw firm is seeking a talented associate with 3 years of experience to join its Private Funds Practice Group. This is an exciting opportunity to work with a sophisticated, nationally recognized team advising top-tier clients across the private funds ecosystem. This position will be based out of New York City in a hybrid structure.
The Opportunity
This practice represents both general partners (GPs) and limited partners (LPs) across a broad range of fund strategies. The team provides comprehensive counsel aligned with the evolving dynamics of the private funds industry.
As part of this group, you'll work on complex, high-impact matters including:
- Fund formation and sponsor structuring
- Negotiating with institutional investors (e.g., pension plans, endowments, funds-of-funds)
- Secondary transactions (buy- and sell-side LP stakes)
- GP-led restructurings and liquidity solutions
Qualifications
- J.D. from an ABA-accredited law school
- Active bar membership in good standing in New York or ability to gain quickly
- 3 of relevant experience in fund formation and investment management
- Exposure to:
- The Investment Advisers Act (including registration considerations)
- Compliance frameworks for private fund managers
- The Securities Act, as it relates to private investment funds
- Strong drafting and analytical skills
- Confidence working directly with clients and collaborating across teams
