We are seeking a Commercial Lending Associate to join our team, focusing on complex middle market and leveraged finance transactions. This is an excellent opportunity to work closely with leading financial institutions, private equity sponsors, and direct lenders across a wide range of sophisticated credit matters.
Key Responsibilities
- Represent lenders in leveraged and middle market commercial finance transactions, including both secured and unsecured bank and private credit/direct lending deals
- Advise clients across a variety of credit transactions, including:
- Leveraged financings
- Asset-based lending
- Syndicated and bilateral facilities
- Acquisition financings and refinancings
- Cross-border financings
- Support deals from origination through closing, including term sheets, commitment letters, and full documentation
- Draft, review, and negotiate key transaction documents, including:
- Credit agreements and grids
- SunGard-style commitment papers
- Subordination and intercreditor agreements
- Agreements among lenders
- Mezzanine and second lien loan agreements
- Amendments and forbearance agreements
- Sponsor guarantees and related documentation
- Represent lenders in subscription credit facilities and fund finance transactions
- Work on both borrower-side and lender-side representations in leveraged and sponsor-backed acquisition financings
- Advise banks, private equity funds, and other financial institutions in structuring and documenting credit transactions
- Manage all aspects of transactions, including drafting, negotiation, and execution
Qualifications
- Strong experience in commercial lending / leveraged finance
- Familiarity with:
- First lien, second lien, and subordinated debt structures
- Unitranche facilities and private credit transactions
- Demonstrated experience drafting and negotiating complex loan documentation
- Working knowledge of UCC Article 9, as well as mortgage and property law
- Ability to manage multiple transactions and deadlines in a fast-paced environment
- Excellent analytical, communication, and client management skills
