The Chicago office of an elite international law firm is seeking an associate to join its nationally recognized General Corporate practice group, with a focus on mergers and acquisitions. This is an exceptional opportunity to work on sophisticated domestic and cross-border transactions at a leading law firm, advising public and private companies, private equity sponsors, and strategic investors on high-profile corporate matters.
Responsibilities
- Advise clients on a broad range of domestic and cross-border mergers and acquisitions, joint ventures, and other strategic corporate transactions.
- Represent public and private companies, private equity sponsors, and strategic investors in complex transactional matters.
- Assist with corporate governance, entity formation, and general corporate advisory matters.
- Conduct legal due diligence and assist with the drafting, review, and negotiation of purchase agreements, ancillary transaction documents, and related corporate agreements.
- Collaborate with cross-functional teams to manage transactions from inception through closing while providing strategic legal guidance throughout the deal process.
Qualifications
- Juris Doctor (JD) from an accredited law school.
- 2–7 years of experience handling mergers and acquisitions and other sophisticated corporate transactions.
- Excellent academic credentials and strong professional references.
- Demonstrated experience drafting and negotiating transaction documents and managing complex deal processes.
- Admission to the Illinois Bar or eligibility to obtain admission promptly.
- Outstanding analytical, drafting, negotiation, and oral communication skills.
