ICR Capital is the capital markets advisory arm of ICR, one of the largest strategic communications firms in the U.S. (500 professionals). Our 25-person Capital Markets Advisory group operates as a high-touch, execution-focused team within a FINRA-registered broker-dealer, advising a diverse set of public companies on equity, equity-linked, structured, and private financing solutions.
The Role:
The Associate will work across registered direct offerings, PIPEs, equity distribution programs, warrant liability management, and private credit transactions, supporting clients through strategy, structuring, investor engagement, and execution. This role offers early exposure to live transactions, direct interaction with senior advisors, and a front-row seat to the evolving small-cap and alternative-capital markets ecosystem.
Responsibilities:
- Research public companies’ financials, trading dynamics, and capital structure to help frame financing alternatives and actionable solutions.
- Support execution of warrant liability management, equity distribution programs, PIPEs, registered directs, and private credit transactions from initial analysis through closing.
- Own components of business development, including screening companies, tracking catalysts, preparing targeting materials, and maintaining internal databases.
- Analyze and maintain precedent transaction data across equity and equity-linked markets.
- Participate in client calls, investor discussions, and internal strategy sessions related to business development and live deal execution.
- Collaborate with ICR’s Investor Relations teams to align messaging, market positioning, and investor outreach.

Qualifications:
- 1 years of capital markets, corporate finance, banking, or related experience preferred (internships acceptable).
- Intellectual curiosity and interest in how public companies navigate the capital markets.
- High proficiency in PowerPoint and Excel; familiarity with dashboards, analytics tools, or light programming is a plus.
- Strong analytical skills with the ability to interpret financial data and market trends.
- Comfortable working in a fast-paced, execution-oriented environment with significant responsibility early on.
- Exceptional attention to detail, communication skills, and a willingness to learn.
- Bachelor’s degree in Economics, Business, Finance, Math, Engineering, or related field.
