We are seeking an experienced Commercial Real Estate Paralegal to support attorneys in all phases of sophisticated real estate transactions. The ideal candidate will possess strong organizational skills, exceptional attention to detail, and the ability to manage multiple matters in a fast-paced environment.
Responsibilities
- Review title commitments, surveys, and related real estate due diligence materials; identify title and survey issues, summarize exceptions, and assist attorneys in resolving matters with title companies and surveyors.
- Prepare title review memoranda and analyze title insurance requirements, including recommended endorsements and affirmative coverage.
- Review and summarize commercial leases, contracts, and diligence reports.
- Order, review, and analyze UCC, tax lien, judgment, bankruptcy, and litigation searches, as well as good standing certificates and other entity-related documents.
- Prepare and maintain corporate formation documents for real estate entities, including organizational documents, resolutions, consents, and related transaction documentation.
- Manage transaction timelines, prepare and maintain closing checklists, and monitor critical deadlines throughout the transaction lifecycle.
- Draft and coordinate miscellaneous closing and transactional documents.
- Review estoppel certificates, Subordination, Non-Disturbance and Attornment Agreements (SNDAs), and other real estate-related agreements.
- Coordinate and organize documentation for complex multi-state and multi-asset acquisitions, dispositions, financings, and other real estate transactions.
- Facilitate transaction closings by coordinating with attorneys, clients, lenders, title companies, and other parties.
- Manage post-closing processes, including collection and organization of recorded documents, tracking outstanding items, and ensuring satisfaction of post-closing requirements.
Qualifications
- Prior experience supporting commercial real estate transactions in a law firm or corporate legal environment.
- Strong understanding of title and survey review, real estate due diligence, and transactional closing processes.
- Excellent organizational, analytical, and communication skills.
- Ability to manage multiple transactions simultaneously while maintaining a high level of accuracy and attention to detail.
- Proficiency with Microsoft Office Suite and legal document management systems.
