Direct Counsel is seeking a mid-level Corporate Associate to join a top-tier AmLaw firm’s Private Equity and M&A group in New York. This is an excellent opportunity to work with leading financial sponsors and strategic clients on sophisticated, high-value transactions in a fast-paced and collaborative environment.
Key Responsibilities
- Represent private equity sponsors, portfolio companies, and strategic buyers/sellers in a variety of transactions
- Handle all aspects of M&A transactions, including leveraged buyouts, sell-side deals, growth equity investments, and minority investments
- Draft, review, and negotiate transaction documents, including purchase agreements and ancillary agreements
- Conduct due diligence and manage deal execution from start to finish
- Work closely with senior attorneys and clients to develop and implement transaction strategies
- Coordinate with specialists across practice areas to support complex transactions
Qualifications
- Minimum 3 years of experience in M&A and/or private equity transactions at a top-tier law firm
- Strong experience representing financial sponsors and/or strategic clients
- JD from an accredited law school
- Admission to the New York Bar required

Compensation & Benefits
- Salary range: $260,000 – $435,000, commensurate with experience
