Direct Counsel is representing a reputable law firm seeking a Mid-Level Corporate & Securities Associate to join its Phoenix office.
About the Role
This opportunity is ideal for a corporate associate with 2–6 years of experience handling sophisticated corporate and securities matters. The role offers exposure to a broad range of transactions and advisory work, including mergers and acquisitions, securities compliance, financings, and corporate governance matters.
Responsibilities
- Advise clients on:
- Mergers and acquisitions
- Corporate governance matters
- Public and private financing transactions
- General corporate and business matters
- Assist with securities law compliance, including SEC reporting requirements
- Draft, review, and negotiate transactional and corporate documents
- Support clients through all stages of corporate transactions and regulatory matters
- Work closely with attorneys and clients on complex business transactions
Qualifications
- 2–6 years of corporate and securities experience
- Strong background in:
- M&A transactions
- Securities law and SEC reporting
- Public and private financings
- Corporate governance
- Experience at a large law firm preferred
- Excellent academic credentials required
- Highly motivated with strong drafting, analytical, and communication skills
- Must be admitted or eligible for admission to the Arizona Bar
