Brief Description
The Office of the General Counsel oversees the corporate governance, legal, compliance, and risk functions at the Conrad N. Hilton Foundation.
The Paralegal role supports the Office of the General Counsel with complex transactional matters, assisting with corporate filings, trademark registrations, governance, board meetings, and compliance tasks, all while maintaining a high degree of confidentiality, particularly in matters involving board and family matters. They independently manage calendars, deadlines, and priorities while drafting routine legal documents, performing redlining, proofreading, and discreet legal research to aid decision-making. Additional duties include coordinating contract negotiations, powers of attorney, insurance portfolios, tax filings, and meeting logistics such as minute-taking.
This role will report to the Vice President, Secretary, and General Counsel.

Responsibilities
Document Management and Drafting
- Draft routine legal documents and correspondence, with proficiency in redlining, draft control, and proofreading for formatting, spelling, and grammar.
- Manage legal documents and Board information in strict confidence, prioritizing conflicting needs, handling matters proactively, and ensuring timely follow-through on deadlines.
- Perform legal research, analyze results for decision-making, and summarize findings for attorney review.
- Support contract negotiations and management, including assistance to internal business partners for routine contract matters.
- Take minutes as needed, and provide project management support.
- Perform administrative tasks, such as printing, compiling binders, and arranging meetings.
- Assist with corporate filings, trademark registrations, and compliance with governance requirements, including preparation and maintenance of minutes, minute books, docket, and governing documents in both electronic and hard copy formats.
- Assist with corporate compliance and ethics program initiatives, ensuring adherence to the Foundation charter, protocols, and regulatory standards.
- Support management of powers of attorney, insurance policy portfolios, routine claim filings, and tax-related filings as needed.
Education
Bachelor’s degree or Paralegal Certificate from an accredited school.
Experience/Technical Skills Required
- Three to five years of relevant prior experience.
- Knowledge of legal terminology and legal document management.
- Ability to identify and analyze legal and business issues in contracts, exercise sound judgment, and know when to escalate issues internally for further discussion and resolution.
- Excellent oral and written communication skills, attention to detail, critical thinking, and problem-solving skills.
- Self-motivated, takes initiative, ability to learn quickly.
- Experience with MS Office Suite, including Outlook, Word, PowerPoint, and Excel.
- Ability to multitask, be flexible, and prioritize and complete projects effectively and efficiently.
- Excellent organizational, analytical, communication, and interpersonal skills, and attention to detail.
- Licensed as a notary public, or eligible (and willing) to become licensed, is a plus.
- A keen sense of ethics, integrity, and professionalism, and a passion and commitment to the mission, vision, and values of the Conrad N. Hilton Foundation.
- Ability to work on-site at least three days each week (MTW) according to the hybrid schedule policy.
- Prolonged periods of sitting at a desk and working on a computer.
- Must be able to lift up to 15 pounds at a time.

Salary : $90,000 - $113,000
