About the Role
Our client, a highly respected and growing organization, is seeking a Corporate Transactions Attorney with strong experience in Mergers & Acquisitions to join their legal team. This role is ideal for an attorney who excels in complex transactional work and enjoys partnering closely with business leaders across the organization.
Key Responsibilities
- Lead and manage Mergers & Acquisitions (M&A) transactions from initial strategy through closing.
- Structure, draft, and negotiate a wide range of corporate and commercial agreements.
- Provide legal advice on joint ventures, strategic partnerships, and corporate development matters.
- Conduct contract review and negotiation for commercial agreements, vendor contracts, licensing, and operational matters.
- Prepare and draft contracts, transaction documents, and corporate governance materials.
- Support corporate formation, entity structuring, reorganization, and restructuring activities.
- Collaborate with cross-functional teams, including finance, operations, and executive leadership.
- Ensure compliance with applicable laws, regulatory requirements, and internal policies.
Qualifications
- J.D. from an accredited law school.
- Active bar membership in at least one U.S. jurisdiction.
- 3–7 years of corporate transactional experience, with a strong emphasis on M&A.
- Experience with joint ventures, contract drafting and negotiation, and corporate structuring.
- Prior law firm experience strongly preferred; in-house experience is a plus.
- Strong communication, project management, and analytical skills.
- Ability to work independently and manage multiple complex transactions simultaneously.

Salary : $160,000 - $180,000
