About the Opportunity
A leading publicly traded real estate organization is seeking an experienced Corporate Paralegal to join its legal team in Dallas. This is an excellent opportunity for a legal professional looking to take ownership of entity management and corporate governance functions while gaining exposure to complex transactions, capital markets activity, and strategic legal initiatives within a large-scale corporate environment.
This position reports directly into senior legal leadership and will play a key role supporting the legal, compliance, finance, and corporate operations teams.
Key Responsibilities
Corporate Governance & Entity Management
- Manage and maintain the company's entity management program across multiple jurisdictions.
- Coordinate entity formations, qualifications, mergers, conversions, withdrawals, and dissolutions.
- Maintain corporate records, minute books, resolutions, operating agreements, bylaws, and organizational documents.
- Oversee annual filings, franchise tax reports, and state compliance requirements.
- Maintain corporate organizational charts and ownership structures.
- Serve as the primary point of contact for internal and external entity-related requests.
- Manage relationships with registered agents and ensure compliance obligations are met.
Legal Operations & Transaction Support
- Support corporate transactions, financings, and capital markets initiatives.
- Assist with due diligence requests, audits, lender requirements, and corporate governance matters.
- Coordinate legal documentation and maintain department databases and trackers.
- Assist with title-related matters and real estate transactions when required.
- Review, track, and route subpoenas, legal notices, garnishments, and bankruptcy notices.
- Support trademark administration, renewals, and intellectual property record management.
Department Support
- Assist with legal invoice management and departmental budgeting processes.
- Coordinate document retention and archiving procedures.
- Provide support to attorneys, compliance professionals, and cross-functional business teams.
Requirements
- Paralegal Certificate from an ABA-approved program preferred.
Strong experience with:
- Entity management
- Corporate governance
- Annual filings and state compliance
- Corporate record maintenance
- Board resolutions and minute books
