Job Overview

A law firm seeks a highly qualified and motivated mid-level associate to join its Venture Capital and Emerging Growth Companies group in San Francisco. The ideal candidate will have a strong background in corporate and transactional matters, particularly in venture and growth financings, corporate governance, and mergers and acquisitions.

Duties

• Advise on sophisticated corporate and transactional matters.
• Represent companies and investors in venture and growth equity transactions.
• Draft and negotiate NVCA-based and bespoke financing documents.
• Advise on governance and capitalization matters.
• Collaborate with M&A, IP, tax, and regulatory teams.

Requirements

• 3 years of experience in a law firm or similar environment.
• Experience with emerging growth companies and venture capital.
• Strong drafting skills and sound business judgment.
• Ability to manage multiple matters in a fast-paced environment.

Education

• Juris Doctor (JD) degree.

Certifications

• Active bar admission in the jurisdiction of practice.

Skills

• Superior writing, communication, and problem-solving skills.
• Ability to navigate complex subject matter quickly and effectively.
