Key Responsibilities
• Lead and manage due diligence processes for acquisitions, divestitures, and joint ventures.
• Draft and negotiate ancillary and core transaction documents, including purchase agreements, shareholder agreements, and joint venture contracts.
• Interface directly with clients, opposing counsel, and internal cross-practice teams.
• Collaborate with colleagues across offices to coordinate global deal execution.
• Provide strategic counsel on deal structure, risk management, and regulatory issues.

Qualifications
• Juris Doctor (JD) degree from an accredited law school.
• 3–6 years of substantive M&A experience from a top-tier law firm.
• Admission to the New York Bar.
• Strong drafting, negotiation, and organizational skills.
• Demonstrated ability to manage complex transactions and competing priorities.
• Excellent client communication and teamwork abilities.
