Key Responsibilities
• Advise private equity sponsors, portfolio companies, and corporate clients on a broad range of M&A and investment transactions.
• Manage and execute leveraged buyouts, joint ventures, and equity recapitalizations.
• Draft, review, and negotiate purchase agreements, operating agreements, and other deal documents.
• Coordinate due diligence efforts and supervise junior associates and paralegals.
• Collaborate with partners, clients, and opposing counsel to ensure smooth deal execution.
• Build and maintain client relationships through responsive, strategic communication.

Qualifications
• Juris Doctor (JD) from an accredited law school with outstanding academic credentials.
• Admission to the New York Bar (or ability to gain admission promptly).
• 3 years of private equity, M&A, or related transactional experience at a leading law firm.
• Demonstrated ability to manage complex transactions and deliver high-quality work under tight deadlines.
• Excellent written and verbal communication skills.
• A deal sheet is required.
