Duties

• Handle sophisticated corporate and M&A transactions from inception through closing

• Advise clients regarding corporate governance, compliance, and regulatory matters

• Draft, review, and negotiate contracts, transaction agreements, and related legal documentation

• Support complex transactional matters involving mergers, acquisitions, and strategic business arrangements

• Collaborate with cross-functional legal and business teams to achieve client objectives

• Conduct transactional due diligence and risk analysis

• Provide strategic legal guidance to clients on transactional and operational matters

• Manage multiple active projects and deadlines simultaneously

• Maintain strong client relationships and support business development initiatives

• Assist with transaction structuring and negotiation strategy

Requirements

• Minimum of 8 years of corporate transactional experience

• Strong experience handling mergers and acquisitions and sophisticated business transactions

• Experience advising clients on regulatory compliance and corporate governance matters

• Proven ability to manage multiple projects simultaneously

• Excellent drafting, negotiation, and analytical abilities

• Strong interpersonal and client relationship management skills

• Ability to work independently and collaboratively within a team environment

• Washington, DC Bar required
