Job Overview
A leading full-service law firm is expanding its Transactions Practice Group and seeks an experienced Corporate M&A Associate Attorney to advise private equity sponsors, strategic buyers, investors, and corporate clients on complex domestic and international transactions. The successful candidate will play a key role in mergers, acquisitions, divestitures, and other strategic corporate transactions while working alongside nationally recognized transactional attorneys.
This position provides substantial responsibility, direct client exposure, and opportunities to manage sophisticated transactions from initial structuring through closing. Duties
• Represent clients in sophisticated domestic and cross-border mergers and acquisitions transactions.
• Advise private equity sponsors, portfolio companies, and strategic corporate clients on acquisitions, mergers, divestitures, and related transactions.
• Draft, review, and negotiate purchase agreements, disclosure schedules, ancillary agreements, and transaction documents.
• Coordinate all phases of complex corporate transactions from due diligence through closing.
• Manage multiple transaction workstreams while maintaining project timelines and client expectations.
• Communicate directly with clients, opposing counsel, financial advisors, and other transaction participants.
• Conduct legal due diligence and identify transaction risks and strategic solutions.
• Assist with transaction structuring and execution for private equity investments and exits.
• Collaborate with attorneys across multiple practice groups on multidisciplinary transactions.
• Support business development initiatives and cultivate long-term client relationships.
• Provide practical legal advice tailored to clients' business objectives.
• Handle multiple sophisticated corporate matters while maintaining exceptional client service.

Requirements
• 4–8 years of substantial corporate M&A transaction experience.
• Significant experience representing clients in mergers, acquisitions, and private equity transactions.
• Strong drafting, negotiation, and transactional documentation skills.
