Our client is seeking a Corporate Counsel to support a growing legal team focused on complex transactions across energy and infrastructure projects.
This role will work closely with business stakeholders on financing, M&A, and commercial matters tied to large-scale development projects.
Responsibilities
- Lead and support project finance and M&A transactions from structuring through closing
- Draft and negotiate key transaction documents, including loan, partnership, and purchase agreements
- Partner with commercial and development teams to provide legal guidance on deal strategy and execution
- Coordinate due diligence processes and manage external counsel
- Draft and negotiate a range of commercial agreements and support cross-functional teams
- Advise senior leadership on legal, transactional, and strategic matters
Qualifications
- J.D. and active U.S. bar admission
- 4-6 years of experience in project finance, M&A, or corporate transactions (law firm or in-house)
- Experience in energy, infrastructure, or similar asset-heavy sectors preferred
- Familiarity with construction, procurement, or offtake agreements is a plus
- Strong commercial judgment, problem-solving ability, and communication skills
Compensation Range: $230,000 - $260,000 base Competitive Bonus
