Job Description
Ekspert Counsel is seeking a Senior Corporate Paralegal for an in-house opportunity with a well-known organization. The position will focus on corporate governance, entity management, and corporate records. This is a hands-on, senior-level role suited for a highly organized professional who thrives in a fast-paced environment. The position is based in New York, NY.
Responsibilities
- Manage and maintain a corporate entity management system, including coordination with third-party service providers on state filings, annual reports, and compliance matters.
- Prepare and file corporate documents, including entity formations, dissolutions, and amendments.
- Assist with basic tax-related filings, including obtaining EINs.
- Maintain accurate corporate records, organizational charts, and governance documentation.
- Draft and update operating agreements, resolutions, minutes, amendments, and officer certificates.
- Support corporate and transactional matters, including closings, certificates of good standing, authorizing resolutions, and document execution.
- Partner with internal teams to track and document compliance with statutory housing and other legal requirements.
Qualifications
- 10 years of corporate paralegal experience in a law firm or in-house legal department.
- Experience managing large, complex entity structures.
- Strong understanding of corporate governance and organizational documents.
- Ability to manage multiple priorities independently in a deadline-driven environment.
- Excellent written and verbal communication skills.
- High level of professionalism, discretion, and attention to detail.
- Bachelor’s degree required; Registered Paralegal (RP) certification preferred.
Salary : $120,000 - $150,000
