Position Overview
A leading development company is seeking a Corporate Paralegal to support its legal team on corporate governance, transactional, and real estate matters. This role will work closely with the General Counsel and other legal professionals on a wide range of sophisticated legal matters, providing critical support across the organization.
The ideal candidate will have experience supporting corporate and transactional matters, with real estate experience strongly preferred.
Responsibilities
- Support the legal team in all aspects of corporate governance, real estate transactions, and special projects.
- Assist with the preparation, review, and editing of legal documents, including transaction documents, NDAs, license agreements, and other contracts.
- Coordinate all aspects of transaction closings, including ordering good standing certificates and lien searches, overseeing document execution, and compiling closing documentation.
- Monitor transaction timelines, closing checklists, and outstanding items to ensure timely completion.
- Prepare and maintain organizational documents, including entity formation documents, operating agreements, assignments, resolutions, and officer certificates.
- Maintain legal department files, templates, databases, and transaction records.
- Collaborate with outside counsel, internal business teams, and other stakeholders on legal matters.
- Support corporate governance initiatives and entity management activities across multiple entities.
Qualifications
- Minimum 5–7 years of paralegal experience supporting corporate and transactional matters in a law firm or in-house legal department.
- Bachelor’s degree required.
- Registered Paralegal (RP) certification preferred.
- Experience supporting corporate transactions required; real estate experience strongly preferred.
- Strong knowledge of entity formation, governance documents, and transactional processes.
Salary : $120,000 - $140,000
