Job Description
Addison Group is partnering with our client to identify an experienced Corporate Paralegal to support a dynamic legal department. This position will play a key role in maintaining corporate records, overseeing entity compliance activities, supporting governance initiatives, and assisting with a variety of legal and administrative functions across the organization.
The ideal candidate brings a strong background in corporate entity administration, exceptional organizational skills, and the ability to manage multiple priorities in a fast-paced environment.
Key Responsibilities
- Serve as the primary resource for corporate entity administration and compliance matters across a multi-entity organization.
- Maintain and organize corporate records, governance documents, formation paperwork, and related legal files.
- Coordinate state registrations, annual reports, franchise tax filings, and other jurisdictional compliance requirements.
- Facilitate entity lifecycle activities, including formations, registrations, restructurings, mergers, conversions, and dissolutions.
- Keep organizational charts and legal entity ownership structures current and accurate.
- Partner with internal stakeholders to support tax registrations and identification number requests.
- Oversee registered agent relationships and monitor deadlines to ensure ongoing compliance.
- Draft, update, and maintain corporate resolutions, consent documents, meeting records, and governance materials.
- Provide entity-related information and documentation in support of audits, financing transactions, diligence requests, and other business needs.
- Monitor incoming legal notices and ensure timely routing to the appropriate internal teams.
- Coordinate the processing of garnishments, bankruptcy notices, and other legal correspondence requiring internal action.

Qualifications
- Paralegal certificate from an ABA-approved program required.
- At least 5 years of experience supporting a corporate legal department or similar legal environment.
- Strong knowledge of corporate entity maintenance, governance documentation, and state compliance requirements.
- Experience managing entity formations, annual filings, registrations, and related corporate recordkeeping.
- Advanced proficiency with Microsoft Office applications, including Word, Excel, Outlook, and PowerPoint.
- Experience utilizing entity management systems, legal databases, or comparable software platforms.
- Excellent written and verbal communication skills with the ability to explain legal and compliance matters to diverse audiences.
