Corporate Paralegal

Compensation: $75,000-$115,000 annually

Work Arrangement: Hybrid (Salt Lake City, UT)

An established law firm is seeking an experienced Corporate Paralegal to support its Corporate & Securities practice in Salt Lake City. This role is ideal for a self-directed professional who brings strong transactional experience, attention to detail, and a client-service mindset to a dynamic legal environment. While the team collaborates in person regularly, the position offers a hybrid work schedule after onboarding to support flexibility and productivity.

The Corporate Paralegal partners closely with attorneys to manage the operational and transactional aspects of corporate matters from inception through closing and post-closing maintenance. This position requires strong organizational judgment, adaptability, and the ability to manage multiple priorities in a deadline-driven practice. Availability for extended hours may be required depending on transaction demands.

• Support and coordinate complex transactional closings, including private financings, mergers and acquisitions, joint ventures, real estate transactions, and strategic investments
• Assist with due diligence processes by collecting, reviewing, and organizing corporate materials and conducting factual research
• Prepare formation and organizational documents for corporations, limited liability companies, and partnerships
• Manage ongoing entity compliance, including maintenance of corporate records, foreign qualifications, amendments, withdrawals, and dissolutions
• Draft and update governance materials such as board and shareholder resolutions, bylaws, operating agreements, secretary's certificates, and entity ledgers
• Prepare, file, and manage UCC financing statements, continuations, and terminations; analyze UCC search results and create summary reports
• Support securities-related matters, including SEC filings, Form D notices, Section 16 filings, Rule 144 opinion support, Form S‑8 filings, and public company transactions
• Prepare Beneficial Ownership Information (BOI) reports under the Corporate Transparency Act
• Maintain capitalization tables, stock ledgers, stock certificates, and equity documentation
• Prepare and submit EIN applications and handle routine filings with state and federal agencies
• Proofread, redact, and finalize legal documents to ensure accuracy and consistency
• Enter and maintain accurate time records in accordance with firm billing standards
• Provide guidance and mentoring to junior paralegals and legal support staff
• Assist with special projects and additional corporate practice needs as assigned

• Bachelor's degree and paralegal certification preferred (or equivalent relevant experience)
• Minimum of 10 years of corporate paralegal experience in a law firm setting
• Significant experience supporting Corporate & Securities practices
• Prior exposure to public company and securities work is strongly preferred
• Demonstrated experience working with Secretary of State offices, service companies, and the SEC
• Working knowledge of federal and state securities regulations applicable to a paralegal role
  
  

• Hands-on experience with EDGAR Next and other SEC filing systems
• Familiarity with Secretary of State databases and third-party filing platforms
• Advanced proficiency with Microsoft Word, Excel, PowerPoint, and Outlook
• Strong technical aptitude and ability to learn new software efficiently
