Prestigious law firm is seeking an experienced Corporate Paralegal to join their Denver team. This position offers an exciting opportunity for a professional with a strong background in corporate law to support attorneys in their corporate practice group. The Corporate Paralegal will play a critical role in providing legal support for both private and public company clients, assisting with general corporate maintenance and complex transactions.
- Assist in the formation, filing, maintenance, conversion, reorganization, and dissolution of various entity types, preparing related organizational and approval documents.
- Coordinate closings and prepare related documents.
- Assemble opinion back-up documentation.
- Coordinate legalization and apostille requests.
- Draft and file corporate and securities filings.
- Organize corporate records and conduct due diligence reviews.
- Prepare stock certificates and maintain capitalization tables and option records.
- Research Blue Sky issues and prepare required filings.
- Handle other tasks as assigned or required.
- Bachelor's degree or paralegal certificate.
- 7 years of paralegal experience in corporate transactions/M&A.
- Excellent oral and written communication skills.
- Strong attention to detail with the ability to manage multiple priorities and track extensive details.
- Proficiency in the Microsoft Office suite with advanced knowledge of Excel.
- Must currently reside in the Denver metro area. Out-of-state candidates will not be considered.
Full-time, Monday - Friday schedule.
Offering a salary of $100,000 - $125,000 based on experience.
