General Position Summary:

As a member of the Vervent Corporate Development team, this role supports all aspects of the Mergers, strategic partnerships and Acquisitions processes, including the identification of targets and opportunities, the execution of transactions and relevant market place activities as well as owning the long range Vervent financial model. In doing so, this individual will work on sophisticated financial analysis and project management in order to conduct M&A and partnership activities from the strategic analysis phase of the transaction lifecycle, through execution and eventual integration.

Primary Responsibilities:

  • In this role, you will have the opportunity to participate in the following activities:
    Develop the Pipeline & enable the Identification Process
  • Develop and maintain deal related data sets to report on competitor transaction activity and pricing
  • Evaluate inorganic growth strategies including acquisition, alliance, licensing, and partnership opportunities linked to corporate and business unit strategies
  • Analyze financial statements and detailed financial information relating to potential acquisitions, partnership opportunities and mergers
  • Present to senior leaders on corporate development items, including acquisition pipeline activity, areas for strategic focus within Vervent, potential dispositions, potential targets, diligence updates, and recommended actions
  • Support Deal Execution
  • Synthesize large sets of data and integrate into meaningful reports and recommendations
  • Prepare and maintain internal analyses, reports and other transaction related information
  • Build financial models for potential transactions using different valuation techniques
  • Build complex valuation models to evaluate mergers, acquisitions, and partnerships
  • Provide financial, analytical modeling, detailed due diligence and other support for evaluating potential mergers and acquisitions
  • Assist in the preparation of internal presentations and reports, as well as supporting analytics, for approval documents for contemplated transactions
  • Support deal execution process and synthesize input on opportunities and risks
  • Coordinate with cross functional team as well as external financial and legal advisors to support the transaction process
  • Conduct ad hoc analyses at the request of senior executives
  • Coordinate work streams of projects with Business Unit and functional personnel
  • Own the long range Vervent model:
  • Run the long-range (3-5 year) annual model for Vervent from key KPIs through 3 statement output
  • Integrate likely acquisition and merger candidates into the long range model to evaluate tax, accounting, earnings, and return implications
  • Integrate the long range model into the annual budgeting process as a kicking off point to growth / earnings targets

Requirements

  • Bachelor’s degree in Accounting, Finance, Business, Math, Computer Science or related field.
  • 4 years’ relevant experience in financial analysis.
  • Ability to work alone with minimum supervision and with others in a team environment, occasionally under time pressure and on several tasks at the same time.
  • Ability to effectively communicate orally and in writing with co-workers, management team, other Departments, vendors, and outside agencies, including being sensitive to professional ethics.
  • A core financial skillset in order to be able to synthesize large sets of financial data and to build complex financial models
  • The ability to translate the above into recommendations
  • Knowledge and understanding of valuation deal model and financial statements
  • Excellent problem solving, project management, facilitation, and interpersonal skills
  • Ability to determine risks and opportunity areas
  • Strong quantitative and qualitative analytical skills, including the ability to exercise sound independent judgment
  • Strong written and verbal communication skills
  • Exceptional attention to detail
  • Strong working knowledge of Microsoft Excel and Microsoft Powerpoint.

Physical Requirements:

The work is of an intellectual nature. While performing the functions of this job, the employee is required to stand and sit for prolonged periods. Specific vision abilities required include close and medium distance vision and the ability to adjust focus. Must be able to hear normal sounds, distinguish sound as voice and communicate through human speech. This position requires the ability to operate a keyboard, computer mouse, telephone, fax, copier, writing tools, and other standard office equipment. On an occasion, an employee will be asked to lift items weighing up to 35 lbs.
