About the Position

Position Description

The General Counsel/CLO is a member of the company's Senior Leadership Team and provides broad leadership for UNOS in the development and execution of the organization's strategy and operations, as it supports its current contracts, considers expansion into new markets and business lines and as it expands to support public health more broadly in domestically and internationally.

The General Counsel/CLO directs all aspects of the corporation's legal affairs to optimize growth, balance risk, protect its legal rights and maximize its long-term commercial opportunities. The role oversees these efforts for multiple legal entities, and will be instrumental in developing strategies for additional future entities, for its current entities, and affiliate corporations,

The General Counsel/CLO also provides advice and interpretation regarding the legal matters pertaining to corporate activities, monitors fulfillment of contractual obligations and interacts with the Corporate Officers and other members of the Board of Directors, government agency officials, outside Counsel and the transplant, healthcare, and business community.

Key Responsibilities:

*Provides hands-on legal counsel and advice to all levels of executive staff and provides oversight and direction on matters pertaining to the legal activities of the corporation and all affiliate corporations.

*Serves as the Corporate Secretary, and the authority on all Board and governance matters, prepares material for every Board meeting for the corporation and for all affiliate corporations by ensuring complete and timely Board and member communications prior to Board and Annual meetings including review and approval of all Board meeting minutes, and review and final edits for all committee reports, and managing the Board Relations team

*Serves as primary resource and point of contact for corporate leadership (Board of Directors and Executive Staff) in all matters involving establishment and administration of committees of the Board (i.e. Executive Committee and Nominating Committee, and matters to be addressed exclusively by the corporate officers.

*Actively leads the development of strategy around legal entities, contract negotiations, litigation, risk management, privacy, and manages the team responsible for policy development for UNOS and the OPTN.

*Serves as the organization's Risk Officer, and Privacy Officer.

*Manages the Federal Contract Administration team to ensure the organization satisfies all contract compliance issues and deliverables, including subcontractor agreements for the federal OPTN contract and all other contracts with customers of UNOS and its affiliates.

*Is responsible for the policy development process and manages the team(s) that facilitate that process.

*Manages all intellectual property issues and engages outside legal expertise where necessary in their effort to protect and serve as in-house authority in the final determination regarding all searches and filings with the Patent & Trademark Office and Untied States Copyright Office for all the corporation and all affiliate corporations.

*Works to mitigate the risk of litigation and develops litigation strategies to be executed by outside counsel as needed when litigation demands exceed the capacity of the internal legal team.

*Provides input and perspective in operational management issues across all disciplines as appropriate.

Minimum Requirements

15 years of experience in corporate legal department administration and government contract principles either as inside counsel or as outside counsel providing support to corporate clients

Critical Skills

*Experience in several of the following related disciplines:

oBoard Relations, External "Affairs/GR, Risk Management, Contract Administration, Strategic Planning

oNew business model development and possibly public policy development are strongly preferred.

*5-10 years of experience practicing and preferably managing in multiple legal disciplines in a corporate environment is required.

*Experience managing a "full service" legal team while providing general support to the executive leadership team based on business acumen and work experience rather than solely based on specialized or technical training.

Additional Skills & Qualifications

*Experience in a complex, regulated, and politically charged environment is preferred

*Experience building a legal team in a healthcare organization preferred

*Excellent oral and written communication skills; excellent organization skills; and proven record of interacting with executive management and corporate officer leadership.

*Strong leadership and staff development skills

*High level of business acumen to accompany legal skills and experience

*Highly effective communicator

*Obtain and maintain Public Trust suitability

Education

Juris Doctor degree from an accredited law school and member of a state Bar Association. Virginia Bar membership and business degree preferred.
