JOB TITLE: Corporate Secretarial Paralegal

JOB SUMMARY

The Corporate Secretarial Paralegal plays a crucial role in supporting corporate governance and legal compliance within the legal organization.

ESSENTIAL DUTIES

  • Supports the Chief Legal Officer with calendar management, travel, expense reporting, administrative tasks, scheduling meetings and coordinating arrangements.
  • Responsible for management of legal department queue and department efficiency, productivity, and accuracy.
  • Perform document creation and proofreading of various legal documents, agreements, memoranda, contracts, spreadsheets, and PowerPoint presentations.
  • Manage all administrative aspects of the contract review and approval process, including cataloguing and tracking contracts' status, training property controllers on contract templates and contract procedures, maintaining a contract database and recommending policies and procedures to ensure proper & orderly processing of contracts.
  • Maintain electronic and hard copy corporate files, including corporate minute books and records, preparing routine corporate resolutions and supporting corporate secretary function for company and its affiliates.
  • Act as liaison between company and outside counsel to ensure timely and effective legal representation with minimal disruption to company business.
  • Act asn legal department SharePoint administrator.
  • Guided by department objectives and priorities, performs a variety of secretarial tasks to support assigned leadership and attorneys.
  • Provides a high level of client service and support while producing a high volume of consistently excellent work products.
  • Provides professional client relationship management with external clients.
  • Handle communication with regulatory authorities as required.
  • Holdsand prepares confidential and proprietary information as related to various departments.
  • Performs independent legal research or compliance research.
  • Updates the Department's contract and corporate records database and assists in the maintenance of the department's internal website. Acts as Secretary for the Commercial Compliance Committee.
  • Prepares initial drafts of transactional documents, contracts, confidentiality agreements, and general corporate documentation for various entities.
  • Coordinates communication with corporate registered agent regarding all affiliated entities.
  • Contributesin preparation of Board of Directors books for Board of Directors' meetings.
  • Assists in preparation of presentations for training performed by attorneys.
  • Coordinates and serves as a liaison with the Company's third-party records storage vendor.
  • Takes the initiative to report on project status; anticipates and alerts supervisor and internal customers of potential project difficulties.
  • Identifies issues and works with others to develop solutions to improve systems, procedures, etc.

MINIMUM QUALIFICATION REQUIREMENTS

Education

  • Associates degree or certification in Paralegal Studies or related field

Required Experience

  • At least 4 years experience in a legal environment
  • Requires 5 years experience in an executive support role, and at least 4 years experience in a legal environment.
  • Experience working in a global environment.
  • Legal research experience
  • Knowledge of corporate governance principles and practices
  • This role requires someone who is detail-oriented, proactive, and has a strong understanding of corporate legal processes.

Desired Experience

  • Previous experience in the medical device field
  • Experience with direct client contact providing strategic litigation and risk management advice
  • Ability to clearly communicate complex technical and legal subject matter to a wide range of audiences

Skills

  • Demonstrated professional level communication skills in writing, editing and major project management are required.
  • Ability to solve problems effectively with creativity in and to explore alternatives in particularly complex cases.
  • Ability to maintain effective working relationships.
  • Planning skills tomeet deadlines, to prioritize, and to handle numerous projects of considerable complexity simultaneously.
  • Demonstrates extensive knowledge of English, spelling and mathematical principles.
  • Plans to establish workload priorities and manage a diverse workload.
  • Able to work with constant interruptions.
  • Willingness to developindependent decision making abilities.
  • Organizational skills with attention to detail.
  • Must be able to maintain confidentiality of both verbal and written information.

  • Paralegal certification
  • Colorado Notary Public Certificate and knowledge of rules for Notary Public

PHYSICAL REQUIREMENTS

Typical Office Environment requirements include: reading, speaking, hearing, close vision, walking, bending, sitting, and occasional lifting up to 20 pounds.

The position is classified as a hybrid role, meaning that the work arrangement calls for hours in the office and virtually. Everyone in a hybrid role is required to spend some time in the office. Work arrangements could change over time based on business needs.

Target Pay Range:$28.00to$36.00- Hourly pay rateto be determined by the education, experience, knowledge, skills, and abilities of the applicant, internal equity, and alignment with market data
Target Bonus on Base:7.0%
