Position Overview 

Reporting to the MD of Finance, the Director of Tax will be responsible for global tax reporting, compliance and planning. The Director serves as the in-house tax expert and liaison to ensure the accuracy, completeness and timeliness of all tax matters and stays abreast of technical tax developments and their impact on SubCom. The Director develops, monitors, maintains and refines the Company's tax policies, manages tax risks and exposures, formulates and implements tax savings opportunities, identifies and implements process improvements, and mentors tax personnel. Work with cross functional leadership teams, as well as external consultants and internal council on various ongoing and ad hoc projects ranging from entity management to project contracts and acquisitions. Work with purchasers and their tax and legal teams on developing agreements aimed at minimizing the tax consequences for all parties for undersea cable projects located in various countries around the world while protecting the interests of SubCom. The Director of Tax will seek proposals and manage multiple outsourced engagements ranging from US federal and state income tax returns and related projects such as the R&D tax credit and transfer pricing studies, to the complete outsourcing of multiple foreign branch tax, accounting and audit services. 

The Director will prepare the Company’s income tax provision and ensure that the Company’s income tax accounting and tax positions are contemporaneously documented and are in accordance with the applicable accounting principles and tax law, which includes drafting or reviewing technical memoranda on positions taken or to be taken on tax returns.

The Senior Manager of Accounting reports to the Director of Tax and prepares project related tax matrices that address foreign income tax, withholding taxes, export tax, GST, etc., participates in contract forming tax discussion and works closely with project accountants to coordinate proforma contract invoices containing VAT, GST or S&U taxes. The Senior Manager also prepares S&U, VAT, GST and property tax returns, executes payment authorizations and reconciles these accounts. Other duties include day to day management of outsourced branch engagements, providing accounting data used to create financial statements and tax returns and supporting branch financial statement audits.

A Staff Accountant reports to the Director of Tax and assists with annual ASC 740 compliant financial statement reporting, disclosures, footnotes and supporting excel based workpapers which support tax adjustments used for computing taxable income and ensures that all tax records are created and maintained to support the financial statement audit and to support federal and state tax audits. The Staff assists with US federal and state estimated payments and supporting workpapers as well as the global monthly cash tax forecast. The Director leads technical development sessions and assists in the training and mentoring of the Staff.

Responsibilities 

  • Primarily responsible for all ASC740 tax provision, deferred tax, tax footnote and tax disclosure work at yearend 
  • Train accounting staff to prepare a complex excel based tax provision model and supporting workpapers
  • Work closely with external auditors on tax provision matters and projects
  • Primarily responsible development and maintenance of internal control related requirements over the global tax compliance process for income taxes, sales and use tax, and VAT/GST
  • Perform research, prepare documentation and draft tax position memos to substantiate tax positions taken
  • Perform FIN 48 analysis and document positions taken
  • Primarily responsible for review of income, VAT, GST, S&U, advances for exports and property tax account reconciliations
  • Prepare monthly estimate of global cash taxes in rolling 12-month cash tax forecast
  • Calculate and pay all estimated quarterly US federal and state income, franchise, capital and similar taxes
  • Facilitate FBAR reporting
  • Create, monitor and maintain the tax filing calendar and payment tracker 
  • Prepare all federal and state extensions
  • Monitor developments in federal, state and foreign country tax law which impacts SubCom
  • Develop and analyze effective tax rate and cash tax planning for federal, state, and international tax implications and ramifications of various tax planning scenarios
  • Corporate global subject matter expert and principle strategist and tactician with respect to optimizing the global tax exposure through development, implementation, and management of global tax strategy and structure
  • Determine global tax implications of new initiatives and business processes
  • Responsible for planning cross border transactions, including transfer pricing studies, intercompany transactions and agreements and dividend/repatriation planning
  • Create various tax models and drive tax process improvement 
  • Oversee and coordinate internal preparation of information for outsourced preparation of US federal, state and international income tax returns
  • Primarily responsible for tax credits and adjustments such as R&D tax credits, foreign tax credits, deemed dividends, BEAT, GILTI, 163(j), QBAI, Sub F income, 263A, DCLs, bonus depreciation, ADS, FDII and US filing requirements
  • Primarily responsible for loading, running and maintaining tax depreciation software and reports
  • Primarily responsible for outsourced global transfer pricing contemporaneous documentation and internal policy to support transfer pricing results
  • Work with accounting staff to gather, organize and summarize state apportionment workpapers
  • Primary global responsibility for all income, S&U, GST, VAT, CAT, capital, franchise and property tax audits by effectively communicating with internal and external resources, as well as the tax authorities
  • Review Withholding tax processes for payments originating from US and foreign entities
  • Monitor the proper withholding of taxes associated with intercompany charges 
  • Work closely with legal team on global entity management, intercompany agreements and other ad hoc projects
  • Work with cross-functional teams to support global income, VAT, GST, S&U, import/export and customs tax implications relating to international construction contracts, asset acquisitions, entity formations and stock acquisitions
  • Engage local outsourced professionals to opine on global income, VAT, GST, S&U, import/export and customs tax implications relating to international construction contracts, asset acquisitions, entity formations, due diligence and other acquisition related matters
  • Assist other areas of organization impacted by tax such as HR, payroll and treasury

Qualifications 

  • CPA and/or MST required
  • Minimum 7-10 years relevant ASC740 corporate experience, combination of Big 4 public / corporate preferred
  • Commensurate US federal, state and international income tax compliance experience 
  • Strong handle on R&D tax credits, foreign tax credits, deemed dividends, BEAT, GILTI, Sub F income, 263A, DCLs, bonus depreciation, ADS and FDII 
  • Strong written and verbal communication skills
  • Oracle, CCH Prosystem Fx Fixed Assets, Thomson Reuters Checkpoint a plus
  • Strong team player and good communicator / collaborator
  • Transfer pricing experience
  • Highly skilled at cross functional collaboration, strategy, project management and execution
  • Proficient with Excel and Microsoft Office, knowledge of other financial or tax preparation software and systems
  • Strong working understanding of US GAAP accounting and financial statement reporting
  • Working knowledge of general ledger accounting 
  • Experience in US federal and state corporate income and S&U tax audits
  • Extensive experience and knowledge of US internal revenue code, regulations and practice 
  • Extensive experience and knowledge of state income tax laws, regulations and practice
  • Systematic advanced reasoning skills with ability to define problems, establish facts, and draw valid conclusions 
  • Leadership skills with ability to manage and develop a team 
  • Technical aptitude with ability to absorb and apply newly learned technical skills 
  • Strong working knowledge of an ERP system 
  • Exceptional tax technical, accounting, analytical, and research skills
  • Ability to engage the business to tax issues and influence business to implement their initiatives in a way that minimizes the tax exposure
  • Ability to communicate technical issues clearly in non-technical terms to management.

  • Extensive international tax experience covering all global regions
  • Detailed knowledge of material taxes a global entity will be exposed to including income, sales, withholding, VAT/GST, expatriate, payroll and import duties 
  • Proven ability to multi-task effectively under pressure and meet deadlines
  • 2 to 4 weeks of travel per year may be needed
