What You'll Do:

  • Implement and manage contract management systems to streamline processes and ensure compliance. 

  • Coordinate tracking and execution of agreements using our contract lifecycle management system, LinkSquares. 

  • Assist in streamlining legal and contract management processes to improve efficiency and effectiveness. 

  • Conduct legal research and provide support on various legal matters as needed. 

  • Prepare and file corporate documents, such as articles of incorporation, articles of organization, bylaws, and operating agreements. 

  • Assist with the formation and dissolution of corporations, limited liability companies (LLCs), and other business entities. 

  • Maintain corporate records and databases, ensuring accuracy and compliance with legal requirements. 

  • Assist Chief Legal Officer with project management, fact gathering and analysis to support legal advice. 

  • Assist the Chief Legal Officer in routine contract negotiations, including Non-Disclosure Agreements (NDAs), employment contracts, and simple amendments. Review and analyze contracts to identify risks and propose appropriate solutions.

  • Work closely with various departments to ensure contracts align with organizational goals and regulatory requirements.

  • Correspond with external parties on legal matters and contract negotiations as needed, representing the organization professionally and effectively. 

  • Work on special projects as requested which may include partnership with key stakeholders, research, analysis, and presentation preparation. 

  • Manage entity (org chart) structure, corporate doing business filings, governance-related file management. 

  • Assist with IP portfolio tracking. 

  • Take initiative and be a self-starter, demonstrating the ability to independently manage tasks and projects while ensuring timely completion. 

  • Proactively identify opportunities for process improvement and implement solutions to enhance the overall contract management workflow. 

  • These additional responsibilities highlight the candidate's role in optimizing legal and contract management processes, as well as their proactive approach to addressing issues and driving positive outcomes for the organization. 

Qualifications


Who You Are: 

  • Bachelor’s degree; paralegal certification or equivalent experience is highly desirable. 

  • 5 years of experience working as a corporate paralegal, preferably in a healthcare or similar industry. 

  • Proven experience in contract management, preferably in a comparable-sized organization. 

  • Familiarity with contract management systems and tools. 

  • Strong understanding of legal principles and contract law. 

  • Excellent negotiation and communication skills. 

  • Detail-oriented with the ability to prioritize tasks and meet deadlines. 

  • Comfortable working independently and collaboratively in a fast-paced environment.
