Job Summary

This position provides an exceptional opportunity to be an important part of an industry leading manufacturing company. The Corporate Paralegal / Contract Administrator will perform commercial contract administration, including contract review, drafting and negotiation. In addition, the Corporate Paralegal / Contract Administrator will have the ability to work on a variety of other subject matters, including research and compliance, intellectual property and employment matters. This position will report to the General Counsel.

Essential Duties and Responsibilities:

  • Reviews, drafts, edits, redlines, and negotiates contracts and other legal documents to minimize potential exposure and maximize legal and other benefits for the company. Contracts to include sourcing/supply agreements, pricing agreements, customer terms and conditions, confidentiality agreements and other commercial agreements.
  • Develops pricing letters in response to customer requirements.
  • Assists with the preparation and development of company template agreements.
  • Prepares, organizes and maintains contract records and files documenting contract performance and compliance.
  • Independently handles assigned projects which may include research and analysis of relevant laws and regulations, compiling data, developing reports, and gathering supporting documents. Assists with strategic projects as necessary.
  • Works with company outside counsel and internal marketing team to oversee the filing and maintenance of the company’s trademark, patent, copyright and domain name portfolios.
  • Assists internal counsel with the development of procedures and best practices to safeguard intellectual property assets and promote compliance.
  • Maintains business filings for various corporate entities.
  • Engages with outside counsel on key legal matters.
  • Analyzes new laws, regulations and contract trends for potential impact on company goals, objectives and compliance obligations. Conducts training of company associates as needed.
  • Assists with employment and other legal matters as required.

Qualifications


Requirements:

  • Bachelor's Degree required; advanced degrees, paralegal or other certifications are a plus
  • Minimum of 5 years of relevant experience
  • Subject matter experience in contracts and transactional matters (including negotiation experience)
  • Excellent drafting, organization, communication and problem-solving skills
  • Interest in learning new things, working on a wide variety of subject matters and contributing to the success of the company in many different ways
  • Strong written and verbal communications skills
  • Highly organized
  • Irreproachable character and integrity
  • Sound judgment
  • Cooperativeness, flexibility, ability to collaborate, and work across functions in a team environment
  • Proficiency with Microsoft Word, Excel and PowerPoint
