EXAMPLES OF DUTIES AND RESPONSIBILITIES
• Conduct legal research and prepare reports on relevant legal issues for attorneys.
• Assist attorneys reviewing common transactional documents, including review of contracts, purchase orders, policies, procedures, and other legal documents.
• Contract law familiarity & ability to understand practical impact of contractual provisions; Understand contractual affirmative obligations, and communicate same to team; Ability to redline contracts, track/store versions, adhere to file naming conventions, efficiently communicate with attorneys/business managers via exchange of redlines
• Renewing and maintaining company licensing.
• Assist attorneys with general corporate, real estate, or transactional legal work, including research due diligence, preparation of both pre- and post-closing documents and books, and drafting transactional agreements such as non-disclosure agreements, letters of intent, leases, deeds, assignments, etc.
• Assist with the discovery process in litigation matters, including collecting and organizing documents.
• Manage legal files and deadlines effectively, ensuring timely completion of tasks.
• Stay up to date on changes in relevant laws and government regulations.
• Experience with drafting and researching documents related to corporate entity filings, entity formations and renewals to include drafting entity formation documents, by-laws, operating agreements and resolutions.
• Range of paralegal tasks include, but are not limited to copying, mailing, closing files, maintaining pleadings, contracts, and other legal documents.
• Assist attorneys organizing, reviewing, drafting, and maintaining corporate records and other electronic legal records.
• Serves as the Law Department’s administrator for department systems.
• Manage and review outside counsel budget and litigation budget.
• Maintain Officers and Directors lists.
• Other duties as assigned.
QUALIFICATIONS
• Bachelor's degree in paralegal studies, legal studies, or a related field required.
• Minimum of 2 years of experience working as a paralegal in a corporate or legal setting preferred.
• Strong understanding of legal terminology, principles, and research methods.
• Excellent organizational skills and attention to detail.
• Ability to manage multiple tasks and deadlines effectively.
• Strong written and verbal communication skills.
• Proficiency in legal research databases, Excel and Microsoft Office Suite and document management systems.
• Motivated, self-starter with the ability to problem solve.
• Ability to take direction and work in a team environment.
• Experience working in the cannabis industry a plus.
• Must be 21 years or older with the ability to pass a criminal background check.
