Job Summary

Under general direction with a high level of autonomy, uses extensive knowledge and skills obtained through education and experience, to manage all legal matters involving assigned functional area. Relying on strong critical thinking and legal analytical skills, drafts, reviews, edits, and negotiates a wide-range of agreements between Raymond James and third parties. Provide legal advice and guidance related to involving privacy, intellectual property and corporate transactions. May lead major projects, programs or processes with significant business impact involving cross-functional teams. Influences strategic direction, develops tactical plans and completes complex assignments with substantial latitude for unreviewed actions or decisions. Provides comprehensive solutions to complex problems or needs. End results are evaluated for achieving goals and objectives. Extensive contact with internal customers, senior management and outside counsel is required to identify, research, analyze and resolves complex legal issues with significant impact.

Essential Duties and Responsibilities

  • Drafts, reviews, edits, and negotiates third-party agreements including those critical to the operation of a broker-dealer and a bank holding company.
  • Advises on privacy and cybersecurity law compliance and incident management matters.
  • Advises on intellectual property issues including copyright, trademark, patent and licensing rights, registrations, and potential infringement issues.
  • Drafts, reviews, edits, and negotiates a high volume of services agreements (MSAs, SOWs, Order Forms) including SaaS, PaaS, IaaS, and license agreements and other enterprise-wide shared service agreements.
  • Provides legal review and represents the organization in assigned functional area(s).
  • Reviews legal issues, particularly as it relates to contractual and regulatory compliance, to ensure the organization’s interests are protected.
  • Plans, assigns, monitors and leads the work of others.
  • Reviews performance and evaluates results achieved by others
  • Coaches and mentors others, including providing guidance and direction to a paralegal staff and developing a regular program of continuing education and career development opportunities.
  • Interprets, applies and recommends changes to organizational policies and procedures.
  • Reviews progress of assignments with senior management.
  • Balances conflicting resource and priority demands.
  • Assists others in developing, preparing and presenting legal theories and strategies.
  • Provides advice, counsel and recommendations to senior management on corporate action.
  • Prepares and delivers written and oral presentations to management and senior management on legal issues.
  • Maintains currency in corporate laws and regulations related to assigned functional areas.
  • Operates standard office equipment and uses required software applications.
  • Performs other duties and responsibilities as assigned.
Qualifications


Knowledge, Skills, and Abilities

Knowledge of

  • Advanced concepts, principles and practices of laws and regulations related to assigned functional areas, including privacy laws and regulations (e.g., GPDR (US/EU), CPRA, PIPEDA, GLBA, Reg S-P).
  • Advanced investment concepts, practices and procedures used in the securities industry.
  • Advanced principles of banking and finance and securities industry operations.
  • Advanced financial l markets and products.

Skill in

  • Drafting and editing of general third-party contracts with particular focus on contracts required for the operation of a broker-dealer and bank holding companyManaging a heavy volume of complex corporate legal functions.
  • Developing, preparing and presenting legal theories and strategies.
  • Researching and analyzing laws and regulations related to a broker-dealer as well as privacy and cybersecurity.
  • Preparing and delivering written and oral presentations to senior management on legal issues.

Educational/Previous Experience Requirements
Education/Previous Experience
  • Juris Doctorate with excellent academic credentials and minimum eight (8 ) years of progressively responsible experience in relevant practice area(s).
  • OR ~
  • Any equivalent combination of experience, education, and/or training approved by Human Resources.

Licenses/Certifications

  • Member in good standing in at least one state bar; and
  • Ability to obtain Authorized House Counsel, if Florida resident and not a member of the Florida bar; and,
  • CIPP/US, CIPP/E, or CIPP/C (preferred, or ability to obtain).
