Attorney

NAV Fund Administration Group is seeking an in-house Attorney to handle contract negotiation and legal support for the significant growth of our unique and fast-growing Fund Administration business.

The Opportunity:If you are reading this, we could guess two things about you: you are detailed oriented in reviewing, analyzing and improving business issues and documents and you are a licensed attorney. This is an opportunity to become part of a fast-growing, unique industry-changing business.

On a Given Day, You Will:

• Analyze legal and business issues and negotiate a high volume of client service agreements.
• Review proposed modifications to the company’s service agreements, revise and redline agreements using a library of pre-approved provisions and comments, and effectively communicate the rationale for edits to prospective new clients and/or its counsels.
• Draft and negotiate complex commercial agreements, including NDAs, vendor agreements, data security addenda to service agreements, and other contracts.
• Assist with regulatory audits and subpoena responses.

To Thrive, You Should:

• Research and draft policies and procedures, including regulatory licensing, data privacy, anti-money laundering, and data retention.
• Research labor and employment issues and advise management and affiliates on employment law related matters.

Here Is How You Can Stand Out:

• Acquire and maintain a good working knowledge of fund administration services.
• Research and prepare documentation to establish and license new business entities in international jurisdictions, and provide legal support to international affiliates.

Required Qualifications:

• 3 years of substantial transactional experience reviewing, drafting, revising, and redlining service agreements, master services agreements, or similar complex commercial contracts.

• Juris Doctor degree and actively licensed to practice law in at least one U.S. state.
• Demonstrated experience multi-tasking and pivoting when required.
• Experience working independently including follow through on tasks and projects with limited supervision.

Preferred Skills:

• Basic knowledge of fund accounting and registrar and transfer agency services.
• Prior experience in the financial services industry, preferably a fund administrator or hedge fund.
• Prior employment, litigation, and/or compliance experience.

Professional Qualifications:

• Highly proficient with Word, Excel, and Power Point.
• Excellent communication skills, including writing, speaking and negotiating with accounting, legal, and business professionals.

Hybrid: 3 days at our Oakbrook Terrace location and 2 days remote.

Monday – Friday, 8:00am – 5:00pm CT.
