Business, Real Estate, Estate Planning, and Asset Protection Attorney (7 Years Experience)

Salary ($140,000.00 DOE as well as Bonus Opportunities)

Michaelson Law has been serving clients in Nevada for over 30 years. Our firm focuses on estate planning, elder law, probate, guardianship, business law, and litigation.

We are looking for an experienced and engaged full-time attorney to join our Henderson, NV office and become an integral part of our firm.

Day-to-day, you will…

1. Conduct business and real estate transactions, including:

• Providing advisory services associated with entity selection and structuring, tax matters, employment matters, and client requirements.
• Assisting clients with acquisitions and/or sales of businesses and/or assets as well as succession planning.
• Securing and maintaining regulatory approvals as well as ensuring compliance.
• Preparing and negotiating legal documents that arise from business transactions, inclusive of the following:
• Employment agreements, independent contractor agreements, service agreements, and joint venture agreements; and
• Business-related contracts such as buy/sell agreements, stockholder agreements, and management agreements.
• Assisting clients with the negotiation, structuring, vetting, and facilitation of real estate transactions.
• Drafting and negotiating commercial and residential leases.

2. Conduct estate planning and asset protection transactions, including:

• Developing and implementing customized estate planning (wills, trusts, powers of attorney, and health care directives) solutions for medium to higher net worth clients.
• Drafting and implementing complex irrevocable trusts and trust/business systems for tax planning and asset protection purposes.
• Advising on tax related matters.
• Advising on and facilitating trust and estate administration matters, including probate, tax related matters, and asset distributions.

3. Assist in training and directing newer attorneys and paralegals.

What you’ll bring to the team:

• At least seven (7) years of legal experience providing business, real estate, estate planning, and asset protection services
• Outstanding time management skills
• Excellent communication skills – both written and verbal
• Attention to detail
• Ability to meet deadlines
• Proficiency in Microsoft Office
