The Contract Compliance Analyst II will support the Manager of Contracts Compliance and the Chief Legal Officer, Medxcel, with various leadership initiatives and administrative and legal responsibilities. This position will lead process improvement initiatives for the creation and development of various construction agreements, such as Architect and Contractor agreements. Additionally, this position will design and implement a comprehensive and interactive training program for Project Managers, Regional Construction Managers, and other internal stakeholders. This position will be responsible for engaging internal stakeholders to educate, coordinate, and initiate projects related to the construction contracting process. It will also serve as the liaison between legal and internal stakeholders. Moreover, this position will support the in-house legal team by actively reviewing and managing executed agreements to ensure Medxcel is fulfilling its obligations defined in its agreements. Finally, this position will monitor ongoing legal disputes, track legal issues involving service of process, actively review legal reporting requirements, draft agreements and various legal notices, facilitate and coordinate the processing of contract activities through completion; and create and maintain form contracts, and ensure compliant database management and maintenance. This position will work collaboratively with in-house attorneys and administrative staff and will interface with internal clients regularly as a key point of contact within the Legal Department.

This position will be located at Central Office- Indianapolis, IN.

Responsibilities:
Contract & Lease Review & Management – 25%
  • Conduct first level review of contracts, leases, and other legal documents
  • Assist in drafting and reviewing commercial agreements
  • Develop an understanding of the legal and practical implications of the operative provisions of each agreement
  • Negotiate and manage construction agreements
  • Perform lease abstraction to identify critical facts, data, and other lease management information
  • Review and organize client and third-party vendor contracts
  • Upload contracts into contract management software
  • Maintain contract templates and contract approval forms
  • Identify and implement process improvement related to the contracting process
Research & Data Management – 25%
  • Assist legal in conducting legal research involving statutory, regulatory, and international issues
  • Assist legal in investigating facts and analyzing legislation, statutory provisions, regulatory guidelines, case law, legal opinions and rulings, ordinances, and other documents to determine legal relevancy
  • Collect and analyze data needed for legal or administrative matters
  • Develop and formalizing the legal processesby incorporating process improvement initiatives
  • Draft, proofread, and edit a variety of documents for correct spelling, punctuation, grammar, formatting and content
  • Administrative duties as assigned
Compliance Training & Relationship Management – 25%
  • Lead and educate internal stakeholders on the contracting process
  • Conduct briefing sessions with executive leadership, management teams, employees, customers, and vendors to answer questions and explain various compliance policies regarding relevant company policies and agreements
  • Assist legal in interpreting contract provisions to internal stakeholders across the organization
  • Manage relationships with non-legal team members
Compliance – 25%
  • Maintain, prepare, and file registrations and legal documents with federal and state agencies and courts
  • Track ongoing legal disputes and manage relationships with internal stakeholders.
  • Maintain database that contains legal entity information
  • Docket filing dates
Qualifications:

Education:

  • Bachelor’s Degreein business related field required
  • Juris Doctorate degree preferred

License/Certification:

  • Paralegal certificate required


Experience:

  • 3 years legal experience required
  • 5 years legal experience strongly desired prefrred
