POSITION SUMMARY

The In-House Counsel oversees all legal matters including litigations, and is responsible for state compliance, customer collections, implement internal compliance policies, and general in-house legal matters, such as employment, business contracts, legal communications, and etc. in Americas zone. 

ESSENTIAL FUNCTIONS

  • Oversee all legal matters and provide expert and strategic legal advice and counsel to the Company by proactively advising the leadership team on new laws, existing laws and regulations that would impact operations of the business to ensure the business operates in line with the applicable laws and regulations.
  • Implement internal compliance policies, including localization, communication and implementation; prepare and conduct legal related trainings to applicable staff as necessary.
  • Review and negotiate a variety of contracts and agreements while overseeing and conducting legal due diligence and coordinating with respective cross functions to implement transactions; provide counseling on contractual, competition, and risk management issues; contribute to the negotiation and drafting of agreements/contracts.
  • Provide advice from legal point of view on all employment related matters including but not limited to employee handbook, employment related documents, policies and procedures development, and to ensure they are up-to-date with current applicable laws/regulations.
  • Responsible in dispute resolution management; respond to all subpoenas and other legal requests timely, provide legal strategies in response to any claims, litigations and arbitrations; represent the Company in legal proceedings partnering with outside counsels, if necessary.
  • Work with HQ legal team to take effective steps to diligently protect the Company from infringements, including activating monitoring system to detect possible infringements and take effective actions to cease and claim by working with outside IP counsels.
  • Manage all aspects of outside counsel relationships, including case strategy, motions and briefs, discovery, trial preparation, budgets and invoices, compliance with outside counsel guidelines. 
  • Develop and maintain a good track of records of all Company’s contracts and legal documents; provide litigation status updates periodically or upon request.
  • Support acquisitions, development and dispositions transactions if any.[FXH1]

QUALIFICATIONS

To perform this job successfully, an individual must be able to perform each essential function satisfactorily. The requirements listed below are representative of the knowledge, skill, and/or ability required. 

  1. REQUIRED EDUCATION, SKILLS and EXPERIENCES
  • JD from ABA accredited law school and CA Bar or member in good standing of a state bar
  • At least 7 years legal experience including 5 years litigation experience in California; experienced with New York law and working in multinational corporations are desired.
  • Demonstrated knowledge and understanding of the complexities and compliance related factors associated with transactions in the regulated food industry is highly desirable, e.g. Prop 65 and Import/Export laws & regulations, experience dealing with food authority regulations pertaining to the marketing and sales of food/condiments.
  • Case management experience, including coordination of complex filings, motion practice, and E-discovery.
  • Must have a commitment to the highest standards of ethical & moral conducts.
  • Excellent written and verbal communication skills including oral presentation skills; superior drafting, analytical, and negotiating skills.
  • Exceptional interpersonal skills; ability to collaborate effectively with outside counsels, leadership team, and colleagues in Americas zone and HQ.
  • Ability to identify, analyze, and mitigate legal risks; assess complex legal issues; and devise practical strategies and solutions.
  • Ability to address multiple priorities; have strong time management skills.
  • Proficient in MS Office (Word, Excel, PowerPoint & Outlook).
  • Ability to drive with a good driving record for offsite meetings if necessary.
  1. LANGUAGE SKILLS
  • The individual must possess excellent written and verbal communication and presentation skills in English, ability to speak Chinese (Mandarin or Cantonese) is a plus.
  1. MATHEMATICAL SKILLS
  • The individual must be able to apply mathematical concepts such as probabilities and statistical inference to forecast liabilities. 
  • The individual must apply fractions, percentages, ratios, and proportions to practical situations.
