This position will play a key role in supporting Lam's global subsidiary management and governance. Working with the senior attorney responsible for subsidiary governance, local counsel, regional management, and other members of the Corporate Legal team, the position will support domestic and foreign subsidiaries, their boards of directors and officers; coordinate planning and preparation for subsidiary board and shareholder meetings, and manage and participate in the preparation of filings globally.
Responsibilities will include:

• Provide timely and effective support to the Corporate Legal team.
• Interact with Legal group and corporate executives on a variety of legal and compliance matters.
• Support domestic and foreign subsidiary boards of directors with resolutions, agendas and meeting documents.
• Support the maintenance of corporate records including articles of incorporation, bylaws, minutes, charters, and other corporate documents.
• Manage and assist executives with director and officer disclosures.
• Administer and maintain the company's entity management platform and internal SharePoint sites.
• Maintain checklists, charts and spreadsheets related to internal legal activities.
• Participate in preparation for annual general meetings of shareholders.

• Coordinate intake of legal documents.
• Assist with production of documents (e.g. in response to subpoenas and litigation).
• From time to time, assist with personal information/personal data in compliance with all relevant data privacy laws.
• Work with external counsel on international subsidiary governance matters.
• Collaborate with internal stakeholders across various cross-functional teams for projects including mergers, acquisitions, dividends and trainings.
• Flexibility to adjust work hours to accommodate international subsidiary time zones when needed.

• Five plus years of significant experience as an in-house or law firm paralegal tasked with subsidiary corporate governance activities
• Good judgment, excellent attention to detail and high standards for work product
• Excellent oral and written English-language skills
• Ability to work independently with limited supervision and to collaborate successfully with other business groups
• Willingness and desire to learn, and demonstrated ability to take initiative
• Ability to prioritize competing demands, meet deadlines, and work proactively and efficiently
• Must be able to work well with others, sense of humor a plus

• Background or experience with in house legal department of a publicly traded company
• Experience working with Computershare GEMS, SharePoint and Microsoft Excel
• Notary credentials are a plus
• Foreign language skills are a plus
• Legal Studies (degree or paralegal certificate) completed or in-process
