SSA Marine has engaged Harris Legal Search to recruit a Corporate Counsel to provide legal support on a wide range of corporate matters. The position reports to the Company’s Associate General Counsel.

RESPONSIBILITIES

Responsibilities include supporting the corporate governance function, providing assistance for M&A and financing transactions, reviewing, and negotiating various commercial contracts, and providing thoughtful legal counsel on a multitude of Company-related business issues. In addition, this attorney will:

• Assist with corporate governance and the corporate secretary function.
• Draft resolutions, consents, governing documents, certificates, and minutes.
• Assist with M&A and financing matters.
• Draft, review, and negotiate commercial contracts.
• Provide legal counsel and guidance to managers and business leaders relating to the Company’s business activities.
• Develop and conduct legal trainings on various legal topics relevant to risk management.
• Respond promptly to the business teams while delivering efficient and high-quality legal service.
• Work on a wide range of projects, and with employees at various levels within the organization.

QUALIFICATIONS

• J.D. and membership in good standing of Washington State Bar.
• 2 – 4 years legal experience, with an emphasis in corporate transactional law.
• Excellent organization, prioritization, and multitasking skills; practical and effective problem-solving skills; strong analytical, negotiation, and communication skills.
• Ability to exercise sound judgment, provide commercially focused legal advice, and appropriately consider risks to the Company.
• Candidate must be able to interact effectively and collaboratively with the Company’s executives, professionals, staff, and other employees, as well as with legal colleagues within the same department and globally, and outside counsel.
• Must work well independently and within a team environment.

COMPENSATION

The base salary range is $175,000 – $225,000. Final base salary is directly related to each candidates’ qualifications and professional experience. There is also a bonus, and generous benefits.
