This remote role is not tightly linked to a physical location and provides flexibility in where, when and how you accomplish your work. Job Summary

The Commercial Transactions Attorney will perform a variety of contract-related tasks, independently as well as under the direction of the Company Legal department and management. The Commercial Transactions Attorney will be responsible for (i) drafting, reviewing, negotiating, and analyzing a variety of commercial legal agreements of varied complexity; and (ii) partnering with and advising management on terms, risk, negotiations, and other related aspects of the commercial arrangement.

Job Responsibilities

  • Review, assess, and draft internal stakeholder and supplier/vendor contracts.
  • Partner with key stakeholders in drafting and negotiating supply base contracts, pricing addendums, joinder agreements, settlement agreements, NDAs and other procurement related documents.
  • Serve as the legal point person for supply base emergency issues requiring prompt attention and rapid responses.
  • Comfortable navigating commercial disputes and pre-litigation settlements.
  • Ensure compliance with Company policies and other applicable legal requirements.
  • Develop cooperative and productive relationships with key internal and external stakeholders.
  • Provide helpful guidance to internal clients.
  • Stay current on relevant laws and regulations.
  • As needed, support contract lifecycle management and identify opportunities for workflow improvements.
  • As needed, perform related administrative tasks.

Education Requirements

Bachelor's Degree Required

Education Specifications

  • Bachelor’s degree required.
  • Juris Doctorate degree required from an accredited law school.
  • Licensed to practice law in the United States. A member in good standing with a State bar and the ability to become a member of the Wisconsin State bar.


Experience Requirements

Required

  • Typically requires a minimum of 5 years of related legal experience.
  • Experience in negotiating and drafting supply base, procurement and commercial agreements of varied type and complexity.
  • A high level of integrity, excellent judgment, analytical skills, and the ability to identify issues relevant to a particular commercial arrangement.
  • Excellent decision-making and problem-solving skills and strong written and verbal communication skills (including good listening skills).
  • The ability to work on multiple tasks simultaneously in a dynamic and fast-paced work environment.
  • The ability to achieve positive outcomes through influence.
  • A self-starter with the ability and desire to work independently (with minimal supervision), prioritize work, and adjust to frequent workload fluctuations.
  • The ability to work well in a team environment.
  • Organization and planning skills.
  • The ability to provide sound legal advice that is responsive to the business needs of Harley-Davidson, Inc. and its subsidiaries.
  • An appreciation and awareness of the legal/business interface.

Preferred

  • Experience working on commercial matters both at a large law firm and as in-house counsel.
  • Experience advising stakeholders on procurement related contracts and commercial disputes is very desirable.

The pay range shown represents the national average pay range for this role. Your pay may be more or less than the stated range and is dependent on your geographic location and level of experience.
