Corporate Paralegal

Our Glen Allen, VA, office is seeking a Paralegal to assist the corporate transactional team, which includes real estate-related matters. We are open to candidates seeking full- time or part-time employment, as well as flex-time and/or project based arrangements. We are interested in candidates with prior corporate, transactional or real estate paralegal experience and also will consider bright, hard-working candidates without prior experience, including those who may be considering law school in the future.

Duties:

  • Prepare and modify schedules for purchase and sale agreements.
  • Manage and maintain transaction files, including electronic/virtual data rooms for transactions.
  • Conduct due diligence reviews and summarize data and information.
  • Assist with the preparation of closing documents and manage the signature process.
  • Assist with drafting and maintaining transaction checklists.
  • Conduct research on assorted general healthcare issues and trends and specific transaction issues and summarize results.
  • Prepare final closing binders for completed corporate transactions.
  • Assist with commercial real estate closings and title company requirements.
  • Assist with filings for governmental authorities, including the Virginia State Corporation Commission and other Secretaries of State.
  • Assist in preparation of PowerPoint and other forms of presentations for existing and potential clients and projects.
  • Support broad base of corporate team attorneys on varied transactions and projects.

Requirements:

  • Bachelor’s Degree or prior Paralegal experience and/or Paralegal Certificate
  • Working knowledge of MS Office, including Word, Excel, PowerPoint, and Outlook; proficiency a plus
  • An interest in healthcare and/or varied transactional work
