The Senior Associate, Paralegal position supports the global transaction legal group in connection with deal engagement, documentation and closing support duties. Job Responsibilities/Essential Job Functions Serves as primary support to company’s global transactional legal team. Responsible for the drafting and markup of non-disclosure and confidentiality agreements for attorney signoff. Assists in the execution of deal closings, including exhibits, deliverables, signatures, etc. Inputs attorney-requested changes to deal agreements and other legal documents. Prepares ancillary deal documents for attorney review. Conducts deal related diligence, including bankruptcy dockets, UCC searches, etc. Maintains “form” bank of prior agreements and pleadings. Prepares bankruptcy declarations for filing in chapter 11 cases. Processes daily conflict checks for new appraisals through Intapp “Open” system. Prepares conflict disclosures for inclusion in appraisals, non-disclosure agreements, and bankruptcy declarations. Manages the compilation of the company’s responses to “audit” inquiries from appraisal clients. Reviews requested changes to standard appraisal engagement letters. Issues and reviews other appraisal related legal documents such as non-reliance and hold harmless letters. May perform other tasks and duties as assigned. Education, Experience Bachelor's degree, three or more years of extensive deal and bankruptcy related experience in a corporate restructuring or merger and acquisition practice; or equivalent combination of education and experience. Knowledge, Skills, Abilities The role requires a self-motivated individual with exceptional problem-solving and analytical skills, strong attention to detail, excellent written and verbal communication skills, the ability to work both independently and as part of a team, good business acumen and command of the technical details and legal terminology related to deal and bankruptcy work.
