Corporate Private Equity invests across industries and geographies, and in a variety of complex situations, including leveraged buy-outs and recapitalizations.

Infrastructure

Established in 2006, Infrastructure makes direct investments in infrastructure and infrastructure related companies. Infrastructure pursues a long-term investment strategy for infrastructure assets and partners with experienced operators and management teams across multiple sectors, including transportation, utilities, telecom and energy. Infrastructure benefits from the platform and global network of Goldman Sachs, providing differentiated access in sourcing new opportunities and unlocking value, while acting as a trusted partner across the lifecycle of an investment.

AMD Private Equity Attorney - VP New York

Asset Management Division (AMD) Legal is looking for an experienced private equity/M&A attorney to provide transactional legal coverage for private equity investments in Growth Equity, Corporate Private Equity, Infrastructure and other AMD desks. The attorney will also be closely involved in managing legal, regulatory and reputational issues involving portfolio companies and investment exits. The position offers the opportunity to partner with the business and other control-side areas and oversee legal aspects throughout the transaction life cycle, including the analysis of legal and reputational issues as part of investment committee and portfolio management processes.

RESPONSIBILITIES

• Advising AMD professionals on the structuring and execution of private equity transactions, taking into account legal, regulatory, reputational and compliance issues
• Managing outside counsel and overseeing legal due diligence
• Handling transaction-related fund and fiduciary issues and working with fund management on investor communications
• Liaising with portfolio companies regarding legal, regulatory, compliance and reputational issues
• Coordinating with other control-side areas

SKILLS / EXPERIENCE

• 4-8 years post qualification experience required in a leading law firm or financial institution
• Strong transactional experience in mergers and acquisitions and private equity is required
• Experience with private equity funds is a plus
• Excellent organizational skills with the ability to manage several simultaneous projects under deadlines
• Excellent interpersonal and oral and written communication skills; ability to clearly articulate ideas and develop stakeholder relationships
• Team-oriented with ability to respond and be flexible to client demands while adhering to firm policies and group practices
• Ability to engage proactively as an advisor to the business and collaboratively work with other control areas
