Associate M&A Attorney - Full-time

Location: Palm Beach, FL

Required Qualifications:

• Law degree from an ABA-accredited law school

• Admitted in good standing to practice law in at least one state in the United States

• Minimum of two to five years of legal M&A experience at a nationally recognized law firm

• Highly motivated, self-starter with demonstrated ability to deliver results within time constraints in a fast-paced environment

• Exceptional attention to detail

• Excellent teamwork and negotiation skills

• Experience with financial services acquisitions, preferably in the RIA and/or asset management industries

Job Description

• Assisting the General Counsel with completing M&A transactions

• Providing counsel to our group and its partner firms on various legal matters

• Tracking and monitoring diligence and transaction status

• Drafting documentation

• Negotiating with Seller’s counsel

• Closing transactions

• Providing general legal services to our group’s partner firms

• Providing legal support on various M&A matters, including drafting agreements, driving transaction process, and conducting due diligence

• Assisting with drafting and negotiating M&A-related agreements, including NDAs, letters of intent, asset purchase agreements, disclosure schedules, employment agreements, and other ancillary M&A documents

• Managing internal and external transaction processes and driving continuous process improvements and scalability in deal execution

• Providing counsel and advice on a range of legal matters for our group and its partner firms

• Working closely and collaborating with the General Counsel throughout the life cycle of transactions

• Handling other transaction and team responsibilities as assigned
